Terms of Service

Welcome to Piki. These Terms of Service ("Terms") govern your access to and use of the Piki application, website at piki.nyc, and all related services (collectively, the "Service") operated by Muse IQ LLC ("Piki," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old to use the Service. By using Piki, you represent that you are 18 or older and have the legal capacity to enter into a binding agreement. If you are accessing the Service on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

2. The Service

Piki is a music prediction market. You listen to songs, rate them, and make predictions about how other users will rate those songs. Correct predictions may earn you USDC, a USD-pegged digital currency. Piki is intended for entertainment and skill-based prediction purposes.

Piki is not a gambling platform. Outcomes are determined by the aggregate music preferences of real users, not by chance. However, you acknowledge that predictions involve risk and that you may lose funds you wager.

3. Account Registration

To access core features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account credentials
• Promptly notify us at sasha@piki.nyc of any unauthorized access
• Take responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe, in our sole discretion, pose a risk to the platform or other users.

4. Predictions, Funds, and Payouts

When you make a prediction, the amount you wager is held until the prediction resolves. Payouts are made in USDC to your connected wallet. By participating, you acknowledge:

• Funds wagered on incorrect predictions are forfeited
• Piki takes a platform fee on winning predictions, disclosed at the time of the prediction
• Payout timing may vary and is subject to blockchain network conditions
• Withdrawals may require identity verification in compliance with applicable law
• We are not responsible for losses arising from wallet mismanagement, lost private keys, or errors in wallet addresses you provide

5. Prohibited Conduct

You agree not to:

• Use bots, scripts, or automated tools to manipulate ratings or predictions
• Collude with other users to artificially influence prediction outcomes
• Create multiple accounts to circumvent limits or gain unfair advantage
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Upload or transmit malicious code, spam, or unsolicited communications
• Impersonate any person, entity, or Piki employee

Violations may result in immediate account suspension and forfeiture of funds.

6. Music Content

Songs available on Piki are licensed from rights holders or sourced through agreements with music data providers. Your ratings and listening activity within the Service are subject to these licensing arrangements. You may not download, record, redistribute, or publicly perform any music accessed through Piki.

7. User-Generated Content

If you submit any content to Piki (such as feedback, comments, or survey responses), you grant Piki a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content in connection with the Service. You retain ownership of your content.

8. Intellectual Property

The Piki name, logo, app design, and all associated intellectual property are owned by Muse IQ LLC. These Terms do not grant you any right to use our trademarks or branding without our prior written permission.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. We make no guarantees regarding the accuracy of music recommendation data or prediction outcomes.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Muse IQ LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or funds — arising from your use of the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of these Terms shall not exceed the greater of $100 or the amount you have deposited into the Service in the 30 days preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Muse IQ LLC and its affiliates from any claims, losses, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting a notice in the app or by email. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
